After December, JetBlue will pay Spirit owners an additional 10 cents per month, which may lift the share price to $34.15 per share. JetBlue will pay Spirit $70 million and its stockholders an additional $400 million if authorities reject the deal.

While Spirit was seeking shareholder approval for a lower-priced merger with Frontier, JetBlue was launching a hostile bid for the airline. When it came to a contract with JetBlue, Spirit was worried that authorities wouldn’t accept it. Investors had resisted Frontier’s less-valuable cash and stock offer since they had JetBlue’s all-cash offer on the table, which was more attractive to them.
